1. Scope of the GTC

1.1. These General Terms and Conditions (GTC) govern the sale, lease and operation of products manufactured or distributed by WALISE Ltd. (hereinafter: the “Provider”), as well as related services.

1.2. These GTC apply to all contractual relationships between the Provider and the Customer.

1.3. By ordering, receiving or using the Product or related services, the Customer accepts these GTC.

1.4. In the event of an individual written agreement, its provisions shall prevail.

2. Definitions

Product: Technical equipment manufactured or distributed by WALISE Ltd., including accessories.

System: The Product together with firmware, related software, data processing, data handling and user interface.

Data: Information measured, calculated or manually recorded by the System.

Customer: Any natural or legal person purchasing or using the Product.

3. Formation of the Contract

3.1. The contract is concluded upon written acceptance of the Provider’s offer or order confirmation.

3.2. Performance occurs upon delivery of the Product or activation of the service.

3.3. Risk of loss passes to the Customer upon delivery.

4. Payment Terms

4.1. Payment shall be made by the deadline indicated on the invoice.

4.2. In case of late payment, the Provider is entitled to charge statutory default interest in accordance with Hungarian law.

4.3. Ownership of the Product remains with the Provider until full payment of the purchase price.

4.4. The Provider may suspend services in the event of payment delay.

5. Intended Use of the Product

5.1. The WALISE System is designed for water quality monitoring and decision-support purposes.

5.2. The System does not qualify as an official measuring instrument and does not replace laboratory testing or professional expert decision-making.

5.3. The Customer shall:

  • comply with the user manual,
  • follow installation requirements,
  • ensure proper maintenance and calibration.

5.4. The Provider shall not be liable for inaccuracies resulting from improper maintenance.

6. Data and Measurement Results

6.1. The Provider strives for accurate measurements but does not guarantee error-free data.

6.2. The data provided by the System are for informational purposes only.

6.3. Interpretation of the data and decisions based on them remain the sole responsibility of the Customer.

7. Liability

7.1. The Provider shall not be liable for indirect or consequential damages, including but not limited to:

  • loss of profit,
  • economic losses,
  • fish mortality,
  • environmental damages.

7.2. The Provider’s total liability – except in cases of intentional misconduct – shall not exceed the net purchase price of the Product concerned.

7.3. Mandatory statutory provisions remain unaffected.

8. Warranty

8.1. The Provider grants warranty in accordance with applicable legal requirements.

8.2. Warranty does not cover:

  • improper use,
  • force majeure events,
  • vandalism,
  • external interference.

9. Force Majeure

The Provider shall not be liable for damages caused by events beyond its reasonable control, including but not limited to:

  • extreme weather,
  • ice damage,
  • flooding,
  • telecommunication failures.

10. Software and Intellectual Property

10.1. All software forming part of the System remains the intellectual property of the Provider.

10.2. The Customer may not:

  • modify,
  • reverse engineer,
  • copy,
  • transfer to third parties.

10.3. The right of use is non-transferable.

11. Data Protection

Personal data processing is governed by the Provider’s separate Privacy Notice.

12. Amendments

The Provider may amend these GTC. Amendments apply to contracts concluded after their effective date.

13. Governing Law and Jurisdiction

Hungarian law shall apply.

Disputes shall primarily be settled amicably. Failing this, the competent court at the Provider’s registered seat shall have jurisdiction.

 

PRIVACY NOTICE 

(Product and Service Related Data Processing)

2. Scope

This Privacy Notice applies to data processing related to:

  • sale and lease of WALISE systems
  • system operation
  • support services
  • data processing and display

It does not apply to website-related data processing or employee data.

3. Categories of Data Processed

3.1 Contract and Contact Data

  • name
  • company name
  • position
  • e-mail address
  • phone number
  • billing data
  • contractual data

3.2 System Usage Data

  • user identifiers
  • configuration settings
  • system logs
  • IP address (where applicable)

3.3 Technical and Measurement Data

  • water quality measurements
  • sensor data
  • GPS position
  • battery status
  • network signal strength
  • system messages

Such data are not considered personal data unless linked to a natural person.

4. Purpose of Processing

  • contract performance
  • system operation
  • data display and transmission
  • troubleshooting and diagnostics
  • customer support
  • compliance with legal obligations

5. Legal Basis

Processing is based on:

  • Article 6(1)(b) GDPR – performance of a contract
  • Article 6(1)(c) GDPR – legal obligation
  • Article 6(1)(f) GDPR – legitimate interest (system security, diagnostics)

Where applicable, consent under Article 6(1)(a) GDPR.

6. Data Processors

The Provider may engage:

  • hosting providers
  • cloud service providers
  • telecommunication providers
  • IT service providers

Processors act under GDPR-compliant agreements.

Transfers outside the EU/EEA rely on appropriate safeguards such as Standard Contractual Clauses.

7. Retention Period

  • Contract and billing data: 8 years
  • Support communication: 3 years after contract termination
  • System logs: maximum 12 months
  • Measurement data: min. 24 months during the contract term or until deletion request

8. Data Security

The Provider applies appropriate technical and organisational measures, including:

  • access control
  • encrypted communication
  • regular backups
  • role-based access management

9. Data Subject Rights

Data subjects have the right to:

  • access
  • rectification
  • erasure
  • restriction
  • objection
  • data portability
  • withdraw consent

Complaints may be submitted to the Hungarian Supervisory Authority:

10. Automated Decision-Making

The WALISE System does not involve automated decision-making producing legal effects.
